These terms govern the services provided by Embetter Technologies Pvt Ltd to the client.
1. Scope of Work – Work is limited to the agreed scope in the proposal. Any changes or additions require a written change order and may affect timeline and cost.
2. Client Responsibilities – The client must provide timely feedback, approvals, access, and materials. Delays caused by the client may push the project timeline and are not the responsibility of Embetter.
3. Acceptance & Warranty – Deliverables are deemed accepted if the client does not raise issues within 14 days of delivery. Embetter warrants work conforms to the agreed specification for 60 days post-acceptance; fixes beyond that are billable as new work.
4. Payment Terms – All invoices are due within 15 days of the invoice date (Net 15). An advance payment is required to commence work. Late payments may result in a halt of all work until dues are cleared.
5. Intellectual Property – Custom deliverables become the client’s IP upon full payment. Embetter retains the right to reuse general-purpose code, libraries, and methodologies not specifically created for the client.
6. Confidentiality – Both parties keep non-public information confidential.
7. Limitation of Liability – Embetter’s total liability is capped at the total fees paid by the client for the project. Embetter is not liable for consequential, indirect, or lost-profit damages.
8. Termination – Either party may terminate with 30 days’ written notice. On termination, the client pays for all work completed and expenses incurred up to that date.
9. Non-Solicitation – The client agrees not to hire or engage any Embetter employee involved in the project for 12 months after the engagement ends.
10. Governing Law – These terms are governed by the laws of India. Any disputes shall first be attempted to be resolved through mediation, and failing that, through the courts of Delhi.
